This Agreement (“Agreement”) is entered into by and between MERCHANT GROUND, an Independent Sales Organization (ISO), and the Merchant identified below (the “Merchant”).

MERCHANT GROUND, as an ISO, shall refer the Merchant to a payment processor, acquirer, or payment facilitator (the “Payment Processor”) for the purpose of processing electronic payment transactions.

MERCHANT GROUND shall not be responsible for any legal claims or settlements arising from the Merchant’s use of the Payment Processor’s services.

The Merchant agrees to be bound by the terms of service of the Payment Processor and the terms of service of Visa, MasterCard, American Express, and the acquiring bank.

The Merchant shall be responsible for any chargeback liabilities that may arise from the Merchant’s use of the Payment Processor’s services.

This Agreement shall be governed by the laws of Madhya Pradesh, India.

Merchant must agree on the payment processor or acquirer’s agreement and terms of services.

This Agreement represents the entire understanding of the parties concerning the subject matter hereof and supersedes all prior agreements and understandings, whether oral or written.

This Agreement may be executed in counterparts, each of which shall be deemed an original, but all of which together shall constitute one and the same instrument.
